Explanatory Note
This proxy statement supplement (this Supplement) dated April 7, 2023 updates certain information in the definitive proxy statement of Unitil Corporation (the Company) dated March 27, 2023 (the Proxy Statement) relating to the Companys 2023 Annual Meeting of Shareholders (the 2023 Annual Meeting). The Proxy Statement was filed with the Securities and Exchange Commission on March 28, 2023 and first mailed to shareholders of the Company on or about March 28, 2023. This Supplement should be read together with the Proxy Statement. Except as described herein, this Supplement does not amend, replace, supplement or otherwise affect the Proxy Statement or the information contained therein.
On April 7, 2023, Mark H. Collin stepped down from the Audit Committee (the Audit Committee) of the Board of Directors of the Company. Also, on April 7, 2023, the Board of Directors of the Company subsequently reconstituted the Audit Committee by appointing Edward F. Godfrey, Michael B. Green, and Justine Vogel as the sole members of the Audit Committee, effective as of April 7, 2023.
